2. Applicability
2.1 These General Terms and Conditions apply to all offers, quotations, orders and agreements between Pro Chain B.V. (“Pro Chain”) and its customers.
2.2 Pro Chain supplies exclusively to business customers. These terms do not apply to private consumers.
2.3 By placing an order, the customer confirms that it acts in the course of its business or profession.
3. Products and Intended Use
3.1 Pro Chain supplies aftermarket automotive components, including timing chain conversion kits.
3.2 Products are intended for professional installation and use only.
3.3 Installation must be carried out by qualified technicians using appropriate tools and procedures.
3.4 Vehicle manufacturer names, trademarks and engine codes are used for identification purposes only and do not imply any affiliation or endorsement.
4. Offers and Orders
4.1 All offers and quotations are non-binding unless stated otherwise.
4.2 Orders are accepted only after confirmation by Pro Chain.
4.3 Pro Chain reserves the right to refuse orders without stating reasons.
5. Pricing
5.1 All prices are exclusive of VAT, shipping costs and any other applicable charges unless stated otherwise.
5.2 Prices are subject to change without prior notice.
5.3 Obvious pricing errors do not bind Pro Chain.
6. Payment
6.1 Payment terms are as agreed with the customer.
6.2 In case of late payment, Pro Chain is entitled to charge statutory commercial interest and collection costs.
6.3 Pro Chain reserves the right to suspend deliveries in case of overdue payment.
7. Delivery
7.1 Delivery times are indicative and not binding.
7.2 Delays do not entitle the customer to compensation or cancellation.
7.3 Risk transfers to the customer upon delivery.
8. Retention of Title
8.1 All delivered goods remain the property of Pro Chain until full payment has been received.
8.2 The customer may not pledge or resell goods before ownership has transferred.
9. Inspection and Complaints
9.1 The customer must inspect delivered goods immediately upon receipt.
9.2 Complaints must be reported in writing within 7 days after delivery.
9.3 Complaints submitted after this period will not be accepted.
10. Warranty
10.1 Pro Chain warrants that products conform to specifications at the time of delivery.
10.2 Warranty does not cover:
improper installation
incorrect application
normal wear and tear
consequential engine damage
10.3 Any warranty claim is limited to replacement or repair of the product at Pro Chain’s discretion.
11. Liability
11.1 Pro Chain is not liable for indirect or consequential damages, including engine damage, loss of profit or business interruption.
11.2 Liability is limited to the invoice value of the supplied product.
11.3 Pro Chain is not liable for damage resulting from incorrect installation or misuse.
12. Returns
12.1 Returns are accepted only after prior written approval.
12.2 Returned goods must be unused, undamaged and in original packaging.
12.3 Custom or special-order products cannot be returned.
13. Force Majeure
13.1 Pro Chain is not liable for failure to perform due to force majeure, including supply chain disruptions, transport issues or government measures.
14. Governing Law and Jurisdiction
14.1 All agreements are governed by Dutch law.
14.2 Disputes shall be submitted exclusively to the competent court in the Netherlands.
15. Final Provisions
15.1 Pro Chain reserves the right to amend these terms at any time.
